Welcome to Vidhyasetu ERP! These Terms and Conditions ("Terms") govern your access to and use of the Vidhyasetu Education ERP platform and related services provided by Parasmesoft ("we," "us," or "our"). By accessing or using our platform, you agree to be bound by these Terms.
By creating an account, accessing, or using the Vidhyasetu ERP platform (including the Student Portal, Parent Portal, Faculty Management, Exam Module, Fees Module, Hostel Management, Library Management, Transport Management, and Integrated Chat), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
If you do not agree to these Terms, you must not access or use our services.
"Platform" refers to the Vidhyasetu Education ERP system, including all modules, features, and related services accessible via web, mobile, or desktop applications.
"Institution" refers to the school, college, or university that has subscribed to and licensed the Vidhyasetu ERP platform.
"User" refers to any individual accessing the Platform, including administrators, faculty, staff, students, parents, or guardians.
"Content" refers to all data, text, images, documents, grades, messages, and other materials uploaded, submitted, or generated on the Platform.
You must be affiliated with a licensed Institution to use the Platform. Students under the age of 18 may use the Platform only with the consent and supervision of their parent or legal guardian.
Accounts are typically created by your Institution's administrators. You are responsible for:
You agree to provide accurate, current, and complete information and to update such information to maintain its accuracy.
We grant the Institution a non-exclusive, non-transferable, revocable license to use the Platform during the subscription period, subject to the terms of the institutional agreement and these Terms.
Your access to the Platform is granted through your Institution. We reserve the right to modify, suspend, or terminate your access at any time, with or without notice, for violations of these Terms or at the request of your Institution.
You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree NOT to:
a) Use the Platform in any way that violates applicable local, state, national, or international law or regulation.
b) Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Platform, or which may harm us or users of the Platform.
c) Impersonate or attempt to impersonate another user, person, or entity.
d) Use the Integrated Chat or any communication feature for harassment, bullying, spamming, or transmitting offensive, obscene, or inappropriate content.
e) Upload or transmit viruses, malware, or any other malicious code that may damage or interfere with the Platform's operation.
f) Attempt to gain unauthorized access to any portion of the Platform, other users' accounts, or any systems or networks connected to the Platform.
g) Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Platform.
h) Use any automated system (including robots, spiders, or scrapers) to access the Platform without our prior written permission.
i) Collect or harvest any personally identifiable information from the Platform without proper authorization.
j) Use the Platform for any commercial purpose not authorized by your Institution or us.
The Platform and its entire contents, features, and functionality (including but not limited to all information, software, code, text, displays, graphics, photographs, video, audio, design, presentation, selection, and arrangement) are owned by Parasmesoft, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.
You retain all rights to the Content you submit, upload, or create on the Platform. However, by submitting Content, you grant us and your Institution a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such Content solely for the purpose of providing and improving the Platform services.
"Vidhyasetu," the Vidhyasetu logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Parasmesoft. You may not use such marks without our prior written permission.
Your privacy is important to us. Our collection, use, and disclosure of personal information are governed by our Privacy Policy, which is incorporated into these Terms by reference.
By using the Platform, you acknowledge and agree to the collection and use of information as described in our Privacy Policy.
The Institution is responsible for all subscription fees and charges associated with the use of the Platform. Individual users (students, parents, faculty) are not directly charged by Vidhyasetu unless explicitly stated otherwise.
The Fees Module allows Institutions to collect tuition and other fees from students/parents. Any fees paid through the Platform are subject to the Institution's fee policies and payment terms. Vidhyasetu is not responsible for fee disputes between users and the Institution.
We may use third-party payment processors to facilitate transactions. You agree to comply with the terms and conditions of such payment processors.
The Platform may contain links to third-party websites, applications, or services that are not owned or controlled by Vidhyasetu. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party services.
You acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of any such third-party content, goods, or services.
We strive to provide continuous access to the Platform, but we do not guarantee that the Platform will be available at all times or will be uninterrupted, timely, secure, or error-free.
We reserve the right to modify, suspend, or discontinue any part of the Platform (temporarily or permanently) with or without notice for maintenance, updates, or improvements.
We may revise and update these Terms from time to time at our sole discretion. All changes are effective immediately when posted. Your continued use of the Platform following the posting of revised Terms means that you accept and agree to the changes.
We may terminate or suspend your access to the Platform immediately, without prior notice or liability, for any reason whatsoever, including but not limited to:
If your Institution's subscription expires or is terminated, your access to the Platform will be automatically terminated.
Upon termination, your right to use the Platform will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
TO THE FULLEST EXTENT PERMITTED BY LAW, VIDHYASETU DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
We make no warranty that the Platform will meet your requirements or that any errors will be corrected.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VIDHYASETU, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE AMOUNT PAID BY YOUR INSTITUTION TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
You agree to defend, indemnify, and hold harmless Vidhyasetu, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.
Any disputes arising out of or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts located in Jaipur, Rajasthan, India.
Before filing any formal legal action, you agree to first contact us at legal@vidhyasetu.com to attempt to resolve the dispute informally.
These Terms, together with our Privacy Policy and any other legal notices published by us on the Platform, constitute the entire agreement between you and Vidhyasetu concerning your use of the Platform and supersede all prior agreements and understandings.
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
