This EULA is a legal agreement between you, the End User, and Vidhyasetu ERP (operated by Parasmesoft).
By accessing or using the Vidhyasetu ERP system, you agree to be bound by the terms and conditions of this EULA. This system is licensed to your institution (the school/college/university), and your right to use the system is governed by that institution's agreement with Vidhyasetu.
Vidhyasetu grants you a limited, non-exclusive, non-transferable, non-sublicensable right to use the Vidhyasetu ERP software (including the Student Portal, Parent Portal, Faculty Management tools, etc.) strictly for the purpose of accessing academic and administrative information related to your affiliation with the licensed institution.
Your use is authorized solely under the terms established by your institution.
You agree not to, and will not permit others to:
A. Modify, adapt, translate, reverse engineer, decompile, or disassemble the software.
B. Use the system for any unlawful or unauthorized purpose, including violating the privacy rights of other users (students, parents, or staff).
C. Use the Integrated Chat feature or any communication tool for harassment, spamming, or transmitting offensive material.
D. Attempt to gain unauthorized access to any module, data, or underlying code of the Vidhyasetu ERP system, including the Fees Module or Exam Module.
E. Upload or transmit any malware, viruses, or harmful code.
You acknowledge that all intellectual property rights in the Vidhyasetu ERP system and technology (including code, design, and documentation) belong exclusively to Vidhyasetu ERP.
You retain ownership of any data or content you submit (e.g., assignment submissions, chat messages) within the system, but you grant your institution and Vidhyasetu a necessary license to use, store, and process that content as required to provide the ERP services.
You acknowledge that your institution is the Data Controller responsible for the data entered and managed within the system. Vidhyasetu acts as the Data Processor.
You agree to abide by all data privacy and security policies established by your institution regarding the use of the Vidhyasetu ERP platform.
Your rights under this EULA will terminate automatically if your institution's license agreement with Vidhyasetu terminates or expires.
Your license may also be terminated immediately without notice if you fail to comply with any term of this EULA. Upon termination, you must cease all use of the Vidhyasetu ERP system.
THE VIDHYASETU ERP SYSTEM IS PROVIDED "AS IS" AND "AS AVAILABLE." VIDHYASETU EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
IN NO EVENT SHALL VIDHYASETU BE LIABLE FOR ANY INCIDENTAL, SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF DATA OR LOSS OF PROFITS, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE SOFTWARE.
This EULA shall be governed by and construed in accordance with the laws of India, without giving effect to any choice or conflict of law provision or rule.
